Section 32. Offences by companies
(1) Where a company commits an offence under this Act, every person in charge of and responsible to the company for its business conduct at the time, as well as the company, is deemed guilty and liable to be proceeded against and punished accordingly.
Proviso: A person is not liable if he proves the offence was committed without his knowledge, or that he exercised all due diligence to prevent it.
(2) Where the offence is proved to have been committed with the consent, connivance, or attributable negligence of a director, manager, secretary or other officer, that person is also deemed guilty and liable to be proceeded against and punished accordingly.
Explanation: “Company” means a body corporate, including a firm or other association of individuals; “director,” for a firm, means a partner.
