Section 49. Offences by companies
Where a company commits an offence under this Act, both the company and every person in charge of and responsible to it for the conduct of its business at the time are deemed guilty and liable to be proceeded against, unless that person proves the offence occurred without their knowledge or that they exercised all due diligence to prevent it.
A director, manager, secretary or other officer is also deemed guilty where the offence is shown to have been committed with their consent or connivance, or is attributable to their neglect. For this section, “company” includes any body corporate, a firm, or other association of individuals, and “director” of a firm means a partner in it.
